LICENSE AGREEMENT This License Agreement governs the use of NewYorkInPhotos.com Image(s), provided by Delta Progressive, Inc. By licensing the Image(s) you obtain no copyrights and you may not sell, license, transfer, rename, place Image(s) online in a downloadable or FTP format, distribute your work in such a way that the Licensee's customer can extract or access the Image(s) as a stand-alone file, disclose or use in any manner not expressly authorized, alter or remove any copyright notice or proprietary legend, transfer the rights to the Image(s), or accompanying materials (if applicable), except as specifically provided for elsewhere in this Agreement Royalty Free Delta Progressive, Inc. licenses to you the use of the Image(s) only as provided below in the United States and other countries on a non-exclusive and non-transferable basis. All other rights to the Image(s) including without limitation, copyright and all other rights, are retained by Delta Progressive Inc and are protected by the international treaty provisions and other applicable laws. You may modify or alter the Image(s) as necessary for your use, provided that the rights to any derivative work shall belong to Delta Progressive Inc. Use the Image(s) or any part of it as part of a trademark, service mark, or logo is strictly prohibited. Delta Progressive, Inc. retains the full rights to the Image(s), and therefore you cannot establish your own rights over any part of it. Rights Managed Delta Progressive, Inc. attempts to avoid, upon agreement, image conflict between users in the same Industry for the same usage within a specific time period that the Image(s) rights are purchased. Permission to utilize Image(s) is only granted for the use specified on the face of the invoice and for no other purpose, including promotional and/or electronic usage. Permission is only effective after you pay the invoice and no rights are granted by your possession of the image(s) or the invoice. Uses are granted for the United States for a maximum of one year, unless otherwise specified. All Images used editorially or on the Internet, must bear the credit line "© year, NewYorkInPhotos.com." or as otherwise indicated by Delta Progressive, Inc. You agree to provide copyright protection to all Images and such copyright shall be immediately assigned to Delta Progressive, Inc. and without charge. This license terminates if at any time you fail to comply with the terms of this Agreement. If this happens, you hereby agree to destroy all copies and archives of the Image(s), to cease using the Image(s) for any purpose, and to confirm to Delta Progressive, Inc. in writing that you have complied with these requirements. Limit of Liability Under no circumstances whatsoever will Delta Progressive, Inc. and NewYorkInPhotos.com be liable to you for any damages, including any lost profits, lost savings, or other incidental or consequential damages arising out of the use or inability to use the Image(s) even if Delta Progressive, Inc. has been advised of the possibility of such damages, or for any claim by any other party. Licensee agrees to indemnify Delta Progressive, Inc and NewYorkInPhotos.com harmless against all claims arising out of any breach of this Agreement. Refunds For any reason, you may request a full refund within seven (7) days of purchase or an image. Since customers are buying a License to use the image and not the image itself, canceling a purchase revokes your right to use the image. We'll issue a full refund upon receipt of a completed and signed Electronic Software Declaration of Removal form. We do not offer refunds in cash or by cheque. Refunds are issued only for digital copies and there is absolutely no refund for printed copies ordered by a customer. Delta Progressive, Inc. reserves the right to change this Agreement at any time by revising the terms and conditions herein.
